Terms of Service

These Terms of Service (the "Terms") govern access to and use of the NexusEdge ResilienceLab platform (the "Platform") operated by NexusEdge ResilienceLab ("NexusEdge", "we" or "us"). By accessing or using the Platform, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent.

1. Eligibility

The Platform is an enterprise service intended for use by organisations and authorised professionals. You must be at least 18 years of age and authorised by your organisation to accept these Terms on its behalf. If you are accepting these Terms for an organisation, you bind that organisation to these Terms.

2. Accounts and access

• Access to the Platform is provisioned through a client tenancy created under a separate agreement with NexusEdge or through an invitation issued by an authorised administrator of an existing tenancy.
• You are responsible for maintaining the confidentiality of your authentication credentials and for all activity carried out under your account.
• You must notify us promptly at operations@nexusedge.info of any unauthorised use or suspected security incident affecting your account.

3. Acceptable use

You agree not to:

• use the Platform in a manner that violates UAE law, including Federal Decree-Law No. 34 of 2021 on the Fight Against Rumours and Cybercrimes;
• access or attempt to access data outside your authorised tenancy;
• upload content that is unlawful, defamatory, infringes intellectual property, or contains malware;
• interfere with the operation of the Platform or its hosting infrastructure; or
• reverse engineer, decompile, or attempt to extract the source code of the Platform, except to the extent permitted by applicable law.

4. Client data

• You retain all rights to the data you upload to your tenancy. NexusEdge processes client data as a data processor under the terms agreed with your organisation and in accordance with our Privacy Policy.
• You are responsible for ensuring that any personal data you upload is collected and processed lawfully, including obtaining any consents required under the UAE PDPL or applicable free-zone regulations.
• We may process aggregated, de-identified analytics to operate and improve the Platform, and will not re-identify such data.

5. Intellectual property

The Platform, including its software, design, documentation, and branding, is owned by NexusEdge and is protected by UAE and international intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Platform for the term of your organisation's agreement with us. No other rights are granted, whether by implication or estoppel.

6. Subscriptions and fees

• Subscription fees, billing terms, and seat allocations are set out in the agreement signed with your organisation and, where applicable, the pricing displayed at the point of subscription.
• Fees are billed in the currency stated on your invoice or checkout page. Taxes, where applicable under UAE law, are added in accordance with current rates.
• Unless otherwise stated in your agreement, fees are non-refundable once a billing period has commenced.

7. Service availability

We strive to maintain high availability and apply commercially reasonable efforts to keep the Platform operational. We do not warrant that the Platform will be uninterrupted or error-free. Scheduled maintenance is communicated in advance where reasonably possible. We are not liable for outages caused by factors outside our control, including internet connectivity, third-party cloud providers, or force majeure events.

8. Disclaimers

Except as expressly set out in these Terms or in a signed agreement, the Platform is provided "as is" and "as available". To the maximum extent permitted by UAE law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Platform provides resilience assessment and reporting tooling; it does not constitute legal, regulatory, audit, or professional advice, and should not be relied upon as a substitute for advice from a qualified professional.

9. Limitation of liability

To the maximum extent permitted by UAE law, in no event shall NexusEdge be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunity, arising out of or in connection with the Platform. Our aggregate liability for any claim arising out of or relating to the Platform is limited to the fees paid by your organisation to NexusEdge in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under UAE law.

10. Indemnification

You agree to indemnify and hold NexusEdge harmless from any claim, loss, or damage arising from your misuse of the Platform, your violation of these Terms, or your infringement of the rights of a third party, including the upload of data you are not authorised to process.

11. Suspension and termination

We may suspend or terminate access to the Platform where there is a breach of these Terms, a failure to pay fees when due, a security risk, or a legal or regulatory obligation to do so. Upon termination, your access is disabled and, subject to legal retention obligations, your organisation may request export of its data for a limited period set out in your agreement.

12. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall, where permitted, first be addressed through good-faith negotiation. Where the dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, unless your signed agreement with NexusEdge specifies a different forum.

13. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above indicates when the Terms were last revised. Material changes will be communicated through the Platform or by email to account holders. Continued use of the Platform after a material change constitutes acceptance of the updated Terms.
